Position Summary:

The Senior Director, SEC Reporting & Technical Accounting will oversee all external reporting and SOX activities for the global organization and is responsible for taking the lead on M&A activities and technical accounting issues.

Responsibilities:

  • Oversee staff responsible for SEC financial reporting, including drafting and filing of Forms 10-K, 10-Q, 8-K, annual Proxy statement and other forms as required using Workiva software.
  • Prepare or oversee preparation of financial statements including Income Statement, Balance Sheet, Cash Flow and Stockholders’ Equity statements and provide EPS calculations.
  • Lead the discussion at Disclosure Committee to ensure financial disclosure is fair, complete and accurate.
  • Writes high quality MD&A and footnote disclosures, manage tie-outs and internal and external review of all documents
  • Coordinate with a cross-function team from Accounting, Finance, Legal, and Investor Relations
  • Responsible for maintaining an effective control environment over financial reporting including quality control for all SEC reporting and external facing financial information.
  • Perform bench marking against peer groups to ensure the Company is using best practice disclosures.
  • Provide technical accounting guidance and interpretations to accounting staff and business development team members.
  • Research, analyze and conclude on technical accounting issues, including the preparation or review of memorandums in support of the Company's position. Manage 3rd party consultants as necessary.
  • Support accounting due diligence and address accounting and financial reporting implications with financings, M&A activities and other significant transactions.
  • Monitor current developments of various accounting standard setting bodies and remain current on technical accounting literature to identify and assess possible changes to the Company’s accounting policies and practices.
  • Oversee 3rd party valuation experts related to quarterly contingent consideration update process; prepare and input necessary adjustments.
  • Manage the internal control (SOX) function including oversight of 3rd party consultants.
  • Provide support to external auditors during their quarterly reviews and annual audit.
  • Support month end close process; prepare and review journal entries and account reconciliations as needed
  • Present materials, as needed, at quarterly audit committee meetings.
  • Special projects and other duties as assigned.

Education/Experience Requirements: 

  • Bachelor’s degree in Accounting or related discipline or an equivalent combination of education and experience required. 
  • CPA required.
  • Ideal candidate will have at least 12+ years of progressive work experience in public accounting and industry and a minimum of 6+ years’ experience in a management/leadership role.
  • Experience in pharmaceutical/biotechnology or related industry in a financial capacity preferred
  • Thorough knowledge and understanding of accounting and reporting guidance and regulations issued by FASB, SEC, EITF, and other regulatory bodies
  • Demonstrated ability to research complex accounting issues and document actionable policies
  • Knowledgeable of Sarbanes-Oxley compliance requirements
