Overview:

Satsuma Pharmaceuticals is a clinical-stage biopharmaceutical company developing a novel therapeutic product for the acute treatment of migraine, STS101. STS101 is a drug-device combination of a proprietary dry-powder formulation of dihydroergotamine mesylate (DHE), which can be quickly and easily self-administered with a proprietary pre-filled, single-use, nasal delivery device. In developing STS101, Satsuma has applied proprietary nasal drug delivery, dry-powder formulation, and engineered drug particle technologies to create a compact, simple-to-use, non-injectable DHE product that can be rapidly self-administered in a matter of seconds. The Company believes STS101 would, if approved, be an attractive migraine treatment option for many patients and may enable a larger number of people with migraine to realize the long-recognized therapeutic benefits of DHE therapy. STS101 has undergone extensive pre-clinical development, completed a Phase 1 clinical trial, and is currently in Phase 3 development.

The Role

Reports to the Vice President, Corporate Controller and located in South San Francisco, California. This position is a very hands-on leadership role responsible for preparing SEC filings (e.g. 10-K, 10-Q, 8-K, Proxy Statement), as well as other governmental and statutory filings, and equity administration, among other responsibilities. The position will also support development and maintenance of company-wide accounting policies and perform accounting research, including assessment and implementation of new accounting standards and evaluation of accounting for non-standard transactions.  The role requires collaboration across other functions (e.g. Clinical, CMC, Commercial, Legal and Investor Relations) to ensure reporting requirements are satisfied.

Duties and Responsibilities:

  • Lead the preparation and filing of Forms 10-K and 10-Q, including drafting financial statement footnotes and MD&A.
  • Prepare, review, and file other periodic SEC documents, including, but not limited to Forms 8-K and Proxy Statement.
  • Lead and maintain SEC reporting calendar and coordinate review process with key stakeholders involving the Executive Team as well as Investor Relations to review earnings releases, earnings scripts, and investor presentations.
  • Responsible for coordinating completion of, and maintaining supporting documentation for, all areas of external reporting as well as the preparation of U.S. GAAP and SEC disclosure checklists.
  • Provide technical accounting support and research for advanced GAAP or SEC topics (may involve the oversight of external resources as well).
  • Independently analyze and evaluate accounting issues and financial transactions for compliance with applicable accounting rules and SEC regulations and assist with the implementation of new accounting pronouncements and interpretations.
  • Manage communications with external auditors on financial reporting, control environment, and key accounting decisions specific to Satsuma.
  • Serve as primary lead for establishing and maintaining Sarbanes-Oxley 404 compliance.
  • Oversee the preparation and review of GAAP financial statements for internal and external reporting.
  • Partner with key stakeholders to enhance efficiency and productivity of department based financial reporting and budget vs. actual variance analysis.
  • Critical focus on continuous process improvement initiatives that enhance the efficiency and accuracy of financial reporting and internal controls across a global organization.
  • Interface with external tax advisors on relevant tax matters.
  • Assist in maintaining and improving the clinical trial and CMC accounting processes.
  • Provide oversight and management of stock plan administration and accounting.
  • Participate in or manage special projects from time to time and other accounting and finance duties as required.

Minimum Requirements Education/Experience:

  • 10+ years of combined public accounting and biotech/pharma industry experience, including at least 5 years in industry preparing SEC filings for a public company.
  • Bachelor’s degree in Accounting or Finance or equivalent is required. Active CPA license is strongly preferred.
  • Prior experience working in a clinical stage life science company strongly preferred.
  • Strong understanding of U.S. GAAP and SEC reporting requirements, as well as the ability to clearly and concisely document and effectively communicate accounting and reporting issues.
  • Strong experience supporting and leading annual financial audits and quarterly reviews.
  • Previous experience managing Sarbanes-Oxley compliance.
  • Detailed experience with Donnelley ActiveDisclosure.
  • Hands on experience with detail XBRL tagging is required.
  • Experience with NetSuite preferred.
  • Experience with stock-based compensation accounting and experience evaluating appropriate accounting for non-standard transactions.
  • Experience managing equity programs.
  • Demonstrable experience managing the monthly/quarterly accounting close process at a public company.
