The Role

Reporting to the Corporate Controller, the Senior Manager, SEC Reporting and SOX Compliance manages the Company’s SEC reporting requirements, including form 10-Q/K, 8-K, Proxy and serves as primary Finance liaison between external auditors, internal counsel, executive management over the drafting and filing of SEC documents. Ensures timely filings; manages the Company’s compliance with the Sarbanes-Oxley Act, including risk assessment, processes documentation, control design, and test plan design. Facilitates and oversees all aspects of internal control testing by management (through third-party service providers) and external auditors, including the presentation of testing results to senior management and the recommendation and implementation of process improvement policies and procedures. The Senior Manager, SEC Reporting and SOX Compliance will be responsible for training /educating control owners as needed to ensure compliance by process owners.  This position will be based in our San Francisco headquarters.

Responsibilities

SEC Reporting:

  • Maintains calendar of required quarterly/annual filings and ensure timeliness of filings
  • Prepare externally reported financial data, including financial statements, footnotes, disclosure tables, press release financials and flux commentary
  • Master editor of SEC filing documents and tie-out of documents to relevant support
  • Develops / maintains a consistent and formal cross-reference (tie-out) process to accurately support all amounts included in SEC filings
  • Ensures SOX compliance regarding internal controls over financial reporting
  • Coordinates, reviews, and collects comments on document drafts from key stakeholders
  • Completes all relevant US GAAP and SEC disclosure checklists
  • Stay technically current with GAAP, SEC reporting requirements, research accounting pronouncements, prepare accounting memo as needed, document impact on accounting policies, financial statements and disclosures
  • Perform research of peer companies/sample disclosures as needed
  • Primary liaison between external auditors and Company on quarterly reviews and annual audits, serving as primary manager of auditor schedule requests and inquiries

SOX Compliance:

  • Manages all aspects of the Company’s SOX 404b compliance program, serving as primary liaison between the Company and 3rd party testers and external auditors
  • Master owner of the Company’s risk control matrix and process flowcharts.
  • Fluent understanding of all financial and information technology processes and controls
  • Fluent understanding of COSO framework principles, fraud risk assessment
  • Assist in the planning of the annual internal control audit (risk assessment, scoping, materiality, test plan, timeline, etc.)
  • Act as quality control reviewer of internal documentation and provide evidence that control performance meets control objectives
  • Monitor and evaluate operating effectiveness of internal controls and identify areas for improvement, make timely recommendations to improve processes and procedures and manage implementation of such recommendation
  • Perform certain annual controls (examples: review of SOC reports from 3rd party service providers, review segregation of duties, review user access in all in-scope systems, etc.)
  • Document control deficiencies and assess severity of all findings
  • Liaise with third party auditors representing management and external auditors (manage timeline, schedule requests, findings, remediation plan and testing)
  • Assist in the development/updating of departmental internal control operating processes, procedures and standards, as needed
  • Interfaces with internal stakeholders to design new controls, educate process owners as needed, monitor control performance
  • Maintain awareness of changing needs of the business, industry, and regulatory environment

Required Qualifications

  • Bachelor’s degree in Business Administration, Accounting, Finance or related field with 5+ years’ financial, SEC reporting and SOX compliance audit experience (internal audit, public accounting, public companies) with 3+ years’ management experience
  • In-depth knowledge of the Sarbanes-Oxley act of 2002 requirements
  • Significant experience in performing/managing internal control audits of key business areas and compliance related activities
  • Significant experience in SEC reporting (10-Q, 10-K, 8-K, S-3, S-8, proxy, prospectus supplements)
  • Proficient in Microsoft Office Software Suite; spreadsheet, word processing, flowcharting, PowerPoint and analytics software.  Visio proficiency
  • Proactive, responsive and timely problem solver with outstanding project management skills, team player, flexible, and ability to resolve conflicts

Preferred Qualifications

  • International/multi-location experience
  • ERP system experience
  • Biotech, pharmaceuticals or life sciences industry experience
  • Experience in high growth environment
